A CIF is authorised by CySEC to provide investment services under MiFID II. The specific permissions you hold — from receiving and transmitting orders, to executing on clients' behalf, to dealing on own account — determine your capital tier and obligations. The big advantage is EU passporting: a CIF can offer services across EU member states without a separate licence in each.
Investment services and capital tiers
A CIF is licensed for specific MiFID II investment services; the combination you hold sets your capital tier. Core services include reception and transmission of orders, execution of orders on behalf of clients, dealing on own account, portfolio management, investment advice, underwriting/placing of financial instruments, and operating an MTF or OTF. The indicative initial-capital tiers under the EU IFR/IFD framework are:
- ~€75,000 — reception & transmission of orders, execution, portfolio management and/or investment advice, where the firm does not hold client money or deal on own account
- ~€150,000 — execution-only / STP models that handle client orders and hold client money
- ~€750,000 — dealing on own account (market making) or underwriting/placing on a firm-commitment basis, and operating MTFs/OTFs
Firms must also meet ongoing capital adequacy — the higher of a permanent minimum, a fixed-overheads requirement, or K-factor requirements under IFR/IFD. Step-by-step: how to obtain a CIF licence
- Define your services — choose the MiFID services (and therefore capital tier) you'll be authorised for.
- Incorporate the Cyprus company — set up the entity, board and local substance (directors, office, key function holders).
- Build the application — business plan, financial projections, capital, and a full policy suite (AML/CFT, risk, compliance, conflicts, best execution).
- Submit to CySEC — file the CIF application and respond to CySEC's review and questions.
- Meet conditions — deposit capital and finalise systems, compliance and personnel.
- Authorisation & passporting — on approval, passport into other EU states as needed and begin operating.
